Be interesting to hear about East Mains upgrades.

I notice Bournemouth have recently completed this new structure - could Hibs be getting something similar ?

I believe they are talking about creating some sort of walkway between the new hospitality in the FF and the current hospitality in the west.

Most importantly, are the pre-AGM pies still a thing? I've not been in person since before the pandemic so not sure if this is still an AGM tradition. Need to know whether to have a scran on the way or not.

If it is the same as previous AGMS when a special resolution has been presented then non shareholders are asked to leave the room. That includes press etc. I would expect it to be the same tonight and as BK are not currently shareholders they would be in that boat.

I don't see any reason why a Black Knight rep couldn't be there and speak outwith that period and any other periods of formal AGM business though.

Interesting to note future investment would be in the form of capital calls and not loans. Kensell was asked if that would be open to existing shareholders and seemed a bit evasive. He was pushed and said pre emption would apply but there could be a vote at the AGM to disapply and that would require 75% approval from shareholders.

Given Foley and the Gordons will after tonight own more than 75% of the club between them I think you can read between the lines and say the days of your ordinary fan being able to buy shares are gone for the foreseeable.

I suppose the question from me would be what difference it would make to Bydand or BKFG if they disapplied the pre-emption rights in the future. Shareholders could only buy according to their current percentage holding, so percentages wouldn’t change with new rights issues. Given that BKFG are only allowed up to 30%, then any future share issues would need to involve Bydand buying more to prevent that happening. So if HSL wanted to get involved then all that would do would give the club more money and not affect their shareholding percentage.

A capital call is a request made by a company or investment fund to its investors for additional capital. This typically occurs when the company or fund needs additional funds to meet its operational or investment obligations. Investors who have committed capital to the company or fund are required to contribute their allocated portion of the requested capital within a specified timeframe, as outlined in the investment agreement. Capital calls are common in private equity, venture capital, real estate, and other investment funds where capital may be needed periodically to fund new investments or meet ongoing operational expenses.

Hibernian FC is delighted to announce that Black Knight Football Club’s minority investment proposal was ratified at the Club’s 2024 Annual General Meeting this evening (Tuesday 27 February, 2024).

Following AGM approval and Hibernian FC agreeing to certain undertakings and commitments at the request of the Scottish FA, Black Knight Football Club (BKFC) have completed the acquisition of 25% of the Club’s shares.

This investment and strategic partnership is the first of its kind in Scotland, with the Scottish FA approving Hibernian FC’s ‘dual interest dispensation request’ that sits under Article 13*.

Black Knight Football Club will now invest a significant seven-figure sum into Hibernian FC that will be used on developing the Club’s infrastructure at Easter Road and the Hibernian Training Centre, alongside increasing the First Team budget to aid sporting performance.

Hibernian FC will also be part of the BKFC network, which sees partnerships with English Premier League side AFC Bournemouth, French Ligue 1 club FC Lorient, and A-League side Auckland, alongside other sporting entities.

“We are excited to announce a strategic partnership and investment in Hibernian FC today,” Bill Foley said. “We look forward to partnering with the Gordon Family and other shareholders to accelerate the success of Hibernian FC and BKFC.

“We believe this partnership, with our commitment to invest in player development and infrastructure, can help BKFC and Hibernian FC reach new levels of success and help Scottish football continue to grow.”

Bydand Sports LLC – owned by the Gordon Family – remains as the Club’s majority shareholder and will keep full technical control over the running of Hibernian FC.

On BKFC’s share acquisition, the Gordon Family commented: “We are delighted that the partnership with Bill (Foley) and Black Knight Football Club has been ratified; a partnership that’ll greatly benefit the long-term future of Hibernian FC.

“We share the same values and ambitions as BKFC, and it was always part of Ron’s vision, and long-term plan, to bring in a minority partner. As a family, we have an unwavering commitment towards Hibernian FC and to building a winning, successful club.”

Hibernian FC Chief Executive Ben Kensell added: “This deal is ground-breaking in Scottish football and game-changing for Hibernian Football Club, so I’m really pleased it was ratified this evening.

“The Gordon Family and I spent months in dialogue with Bill and Black Knight Football Club to ensure they were the right partners for this fantastic club, and during that time we quickly realised we were totally aligned with our ambitions for Hibernian FC. I’d also like to thank the Scottish FA for their openness, transparency, and support in getting this deal agreed.

“This is a really exciting time for everyone involved with Hibernian FC. The future looks very bright and fans should be excited.”

An interesting night thus far.

Turnover up, expected to be approx £15M but could rise higher. Ticketing and football turnover down slightly largely attibuted to poorer on field performance. Big investment in playing staff, women's team, other infrastructure and so on.

Big plans for the Famous Five. Clubstorw and ticket office upgrades, committed to a 'community hub'. Further hospitality upgrades planned.

No external debt exxept an interest free loan to the govt. Will allow investment on the park and contribute to an increased budget.

Black Knight will allow us to share expertise and thus grow the on and off field stuff. They will have two directors at Hibs with no affiliation to another club. Hibs remain independent. We sign who we want, play who we want and sell to who we want.

Aim is to be sustainable at a higher level. Future investment will be capital calls, possibly donations. Not loans.

A home for the women's team at an 'altenrayive venue'.

Foley is a football man who just loves the process and believes in the multi club structure.

A myriad of other questions about a range of issues, largely well received and answered.

Resolutions all passed. Malcolm McPherson very happy and pays tribute to the Gordons.

Sure someone can be more comprehensive but that's a snapshot of some of what was discussed.

I think the speed with which the club statement was posted shows that. Mind you they could have had a couple of different statements ready just in case....

It was all agreed as far back as December GG, I think I posted as such after the December derby after speaking to a director. The detailed plans had already been submitted and there had been tacit approval at that point from the authorities. Word of caution though, don’t expect all this money going to the first team initially- but there’ll be cash there if and when required. The indoor facility at HTC is a priority.

I must admit that I haven’t the foggiest about what this deal will actually mean in real terms for the club and more importantly the quality of the team on the park.

There’s plenty predictions of doom and gloom from certain quarters as you would expect.

However if it means we get players on loan like that of the quality of Myziane Maolida then I’ll bite your hand off!

Here’s hoping this isn’t a false dawn and is really something that can catapult us up the league.

PB succinctly posted above what’s planned initially. HTC will see an indoor training facility built with added investment in sports science too. The women’s team will see investment and there’ll be a real push for more community inclusion out in the Lothians. The FF will see more and improved hospitality.

Regarding the first team there’ll be more money available and use of the multi team model. I think we will see more talent from Bournemouth, players that they sign and want regular first team action that they won’t get initially at Bournemouth. We’ll certainly not get outbid by any competition outside the Old Firm.

You've downplayed Maolida and Marcondes a few times but not after this weekend. It's clear from them and Moriah-Welsh we've got a higher quality in than our usual. Ben was non commital, as he can’t speak for the investors but Ian Gordon was nodding his head when the question of future donations was asked.

Missed that. Did you video it? :cb

I thought the questions about Rangers fans and pyro were never going to end though!

To be fair it is obviously an issue to lots of people. Pyro doesn't bother me and neither does there prehistoric song book, I learned to ignore it long ago. What was the response from the board on the subject?

Ben and Gary O addressed it. They said there’s really nothing more they can do. The SPFL don’t care and the Old Firm don’t care. Ben is happy to make a public statement next time but doesn’t think it will achieve anything. He did say they were very close to cutting their allocation and that Ian Gordon was the one pushing that the most.

They haven’t even completed their hotel 😂👍 only half of its finished. Nice false windows and mini bar though 👀

If you were a Hearts fan, surely you’d be demanding answers as to why Coffee Morning Ann is allowed to project manage all this whilst blasting the fans and James Anderson’s money in the process? Is there anything she hasn’t project managed that’s been wildly over budget and behind schedule? I’d be raging if I’d poured my wallet into that big plastic begging cash cow in their club store and then realised she’d *****ed it up a windowless wall.

Precisely how they are on kickback. It’s quite cute actually. They are bricking it.

One of them even saying they themselves have a bigger playing budget as they’ve completed all their capital projects. I think he’s forgetting they still have to get on the phone at bang on 8.30am to book a pitch before the under 15 girls hockey team.

The more they slag it off the more it confirms they're concerned about it.

That was literally pure gold. There was a guy on there, can't remember if it was kiwidoug, but he had the Murrayfield Building Company, and had them hanging on his every word. I think he spoke pretty well tonight but he didn’t answer the questions about future capital calls or the dilution of HSL and others very well. The lawyer on stage bailed him out with both.
