Just read on Companies House that Bruce Langholm has left the board, must have been at Hibs for 13/14 years or so

17 years!

I've known him to speak to for many years and for a while now I've been telling him how great retirement is. It's my fault but I hope he enjoys his time off!

I'm pretty certain he drops in on the forums so if he's looking in ... I look forward to seeing more of you at half time 😆

I appreciate that 99% of the people on here don’t care about this, but the club’s approach to non-executive directors has been poor. The reappointment of the late Stephen Dunn to the board last summer reeked of the board and the majority owner not giving a **** about minority shareholders and putting zero effort into finding someone qualified for the role. Stephen might have been qualified the first two times, but he had been on the board for too long to offer any independence and should never have been appointed last summer. Even if the majority owner nominated Stephen, the rest of the directors should have voted down the appointment.

Nothing against Bruce. He probably was the ideal appointment in 2006. But again he had served far too long and should have cycled off the board a long time ago. The Corporate Governance Code suggests a director may no longer be independent after 9 years of service.

When combined with two other directors, who probably were independent, resigning at the beginning of the year and more directors from the majority owner joining the board after Ron’s death, corporate governance wise the club has had a poor year.

Arguably none of the above really mattered when we had a majority owner who owned 98% of the company, but we now have a sizeable number of minority shareholders. Corporate governance matters. Having independent non-executive directors matter.
